Company, the selling stockholders named therein and Merrill Lynch & Co. in
connection with the public offering of 3,261,220 shares of the Company's
Class A common stock, par value $.01 per share, all of which are to be sold
by the selling stockholders to the Underwriter pursuant to the Company's
Prospectus Supplement, dated as of May 13, 2004, to the Prospectus, dated as
of January 27, 2004.
