Item 5.02               Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)           Director Ron Marshall resigned from the boards of directors (the “Boards”) of each of Linens Holding Co. and Linens ‘n Things, Inc. effective June 17, 2008.  To the knowledge of the registrants, Mr. Marshall did not resign due to any disagreement with the registrants’ operations, policies, or practices.  Mr. Marshall was a member of the Audit Committee of each of the Boards.  No replacement has been named.
