The terms and conditions of the Offer are set forth in the offer to exchange/prospectus (the “Offer to Exchange/Prospectus”) filed pursuant to Rule 424(b)(3) on August 19, 2011 and the related Letter of Transmittal which is filed as Exhibit 99.1 to Validus’ Registration Statement on Form S-4 filed with the SEC on July 25, 2011, as amended by Amendment No. 20 to Schedule TO filed with the SEC on November 3, 2011.
