Included
herein are the audited financial statements of Indiana Gas Company, Inc.
(Indiana Gas), a wholly owned subsidiary of Vectren Utility Holdings, Inc.
(Utility Holdings). Utility Holdings is a wholly owned subsidiary of
Vectren Corporation (the Company).
The
Indiana Gas financial statements include footnotes thereto, abbreviated analysis
of results of operations, segment information and operating
statistics. The financial statements of Indiana Gas are included as
Exhibit 99.1 to this Current Report on Form 8-K. These financial
statements are not intended to comply with Regulation S-X or Regulation S-K as
Indiana Gas is not a registrant.
In
accordance with SEC Release No. 33-8176, the information contained in the
audited financial statements shall not be deemed “filed” for purposes of Section
18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed
incorporated by reference in any filing under the Securities Act of 1933, as
amended.
