Bye-law
26 of the Amended and Restated Bye-laws of the Company provides that the Company
shall indemnify any current or former director or officer or any person serving
or who has served at the request of the Company as a director, officer, partner,
venturer, proprietor, trustee, employee, agent or similar functionary of another
foreign or domestic corporation, general or limited partnership, firm,
association, trust, estate, company (including a limited liability company)
or
other enterprise to the fullest extent permitted under Bermuda law. The Company
may also indemnify any of its employees or agents to the fullest extent provided
by Bermuda law.
Bye-law
26 further provides that the right to indemnification thereunder is a contract
right and gives claimants certain rights with respect to claims for
indemnification not paid by the Company after 60 days following a written
request. The indemnification provisions in Bye-law 26 are not exclusive of
other
rights to which a director or officer may be entitled.
The
Company has a liability insurance policy in effect that covers certain claims
against any of its officers or directors by reason of certain breaches of duty,
neglect, errors or omissions committed by such person in his or her capacity
as
an officer or director.
