Results of Operations and Financial Condition.

On January 20, 2009, Electro Scientific Industries, Inc. (“the Company”) issued a press release announcing unaudited preliminary financial information for the third quarter of fiscal 2009. A copy of the press release is furnished herewith as Exhibit No. 99.1.
