Item 1.01 Entry into a Material Definitive Agreement

Amendment to Agreement and Plans of Merger

On October 16, 2016, Colony Capital, Inc. (“Colony”), NorthStar Asset Management Group Inc. (“NSAM”), NorthStar Realty Finance Corp. (“NRF” and together with Colony and NSAM, the “Companies”), Colony NorthStar, Inc. (f/k/a New Polaris Inc.) (“Colony NorthStar”), New Sirius Inc., NorthStar Realty Finance Limited Partnership, Sirius Merger Sub-T, LLC and New Sirius Merger Sub, LLC (collectively, the “parties”) entered into a letter agreement (the “Letter Agreement”) amending that certain Agreement and Plans of Merger (as amended from time to time, the “Merger Agreement”) dated as of June 2, 2016 by and among the parties, which provides for the mergers of the Companies into Colony NorthStar (the “Merger”), as the publicly-traded company for the combined organization. The Letter Agreement, among other things, amended the Merger Agreement to (i) revise the form of Colony NorthStar’s charter and bylaws that will govern Colony NorthStar from and after the effective time of the Merger, (ii) provide that the number of members of the board of directors of Colony NorthStar as of the consummation of the transactions contemplated by the Merger Agreement shall be set at ten, and (iii) increase the special dividend from $128 million to $228 million that NSAM will be permitted to declare prior to the consummation of the transactions contemplated by the Merger Agreement and pay to its stockholders.

The foregoing description of the Letter Agreement does not purport to describe all of the terms of such agreement and is qualified by reference to the Letter Agreement, which is filed as Exhibit 2.1 hereto and incorporated herein by reference.

 

Item 8.01 Other Events

On October 17, 2016, the Companies issued a joint press release announcing, among other things, the entry into the Letter Agreement by the Companies, as well as entry by NSAM into a voting agreement with certain of NSAM’s stockholders and side letter agreements with certain of NSAM’s executives, in each case in connection with the transactions contemplated by the Merger Agreement. A copy of the press release is filed as Exhibit 99.1 hereto and incorporated herein by reference.
