Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 26, 2018, the Compensation and Management Development Committee of the Board of Directors of Meritor, Inc. (the “Company”) approved an increase in the compensation to be paid to Jeffrey A. Craig, Chief Executive Officer and President. Effective October 1, 2018, Mr. Craig’s annual base salary will be increased to $1,000,000; his target bonus award for fiscal year 2019 under the Company’s Incentive Compensation Plan will be increased to 120% of his annual base salary; and his target award for the three-year performance period of fiscal 2019 to 2021 established pursuant to the Company’s 2010 Long-Term Incentive Plan, as amended, will be increased to $4,350,000.
