Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 18, 2017, the Board of Directors of Exterran Corporation (the “Company”) approved and adopted an amendment to Article IX of the Company’s Amended and Restated Bylaws (as amended, the “Bylaws”) to change the vote required to amend our Bylaws from the affirmative vote of the holders of 66 2/3% of the voting power of our outstanding common stock to the affirmative vote of the holders of a majority of the voting power of our outstanding common stock, subject to the limitations in the Company’s Amended and Restated Certificate of Incorporation.
