Stockholder Meeting Notice
The Timberland Company’s Annual Meeting of Stockholders will be held on May 13, 2010 at 200 Domain Drive, Stratham, NH 03885, at 9:00 a.m. Eastern Time.
Proposals to be voted on at the meeting are listed below along with the recommendations of the Board of Directors.
The Board of Directors recommends that you vote FOR the following proposals:
1. To fix the number of directors at eleven and to elect eleven directors.
2. To ratify the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm.
3. To amend the Company’s 2007 Incentive Plan to increase the number of shares reserved for issuance from 4,000,000 to 8,000,000.
4. To transact such other business as may properly come before the Annual Meeting and any adjournments thereof.
PLEASE NOTE — YOU CANNOT VOTE BY RETURNING THIS NOTICE. To vote your shares you must vote online or request a paper copy of the proxy materials to receive a proxy card. If you wish to attend and vote at the meeting, please bring this notice with you.
