Item 2.02 Results of Operations and Financial Condition.
     On March 31, 2006, LHC Group, Inc. (the “Company”) issued a press release reporting on its financial results for the fourth quarter and full year ended December 31, 2005. A copy of that press release is furnished with this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
     The information included or incorporated in this report, including Exhibit 99.1, is being furnished to the Securities and Exchange Commission and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
     (b) On March 31, 2006, the Company announced the resignation of R. Barr Brown, effective July 1, 2006, as the Company’s Senior Vice President, Chief Financial Officer and Treasurer to pursue other business interests. Mr. Brown’s replacement will be chosen by a selection committee comprised of Mr. Brown, Keith Myers, President and Chief Executive Officer, John Indest, Executive Vice President and Chief Operating Officer, and three independent members of the Company’s Board of Directors. The Company has also engaged the executive search firm of Heidrick & Struggles. Mr. Brown will also resign as a member of the Board of Directors of the Company effective July 1, 2006.
