Explanatory Note
Dana Holding Corporation is filing this amendment to its Current Report on Form 8-K, as filed with the Securities and Exchange Commission on December 19, 2008 (the “Prior Report”), to refile Exhibit 3.2 in order to provide the correct version of our amended Bylaws.
