III — NARRATIVE
State
below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-SAR,
or the transition report or portion thereof, could not be filed within the
prescribed time period.
On
January 9, 2009, the Company filed a voluntary petition under Chapter 11.
On
September 21, 2009, the Company’s Chapter 11 Plan of Reorganization became
effective. Pursuant to the terms of the Chapter 11 Plan, among other
things, the Company’s officers and directors prior to the effective date of the
Chapter 11 Plan resigned and new officers and directors were
elected. As a result of the bankruptcy proceedings and the
Company’s limited resources, and the
recent change in the Company’s management, the
Company has not been able to complete its financial statements and or draft the
narrative description of its current status by the Form 10-Q filing
deadline. Accordingly, the Company requires additional time to
complete its Form 10-Q.
