EXPLANATORY NOTE

This Amendment No. 2 to the Company's Annual Report on Form 10-KSB for the fiscal year ended June 30, 2005, as filed by the Company on October 14, 2005 and as amended by Amendment No. 1 filed on April 7, 2006, is being filed solely to file additional exhibit documents and to amend and restate the exhibit table (ITEM 3-EXHIBITS) accordingly.
